Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the private client platform available at https://private-trust.gcpagroup.com (the “Platform”), operated by Green Capital Private Advisers Ltd and its affiliates (“GCPA,” “we,” “our,” or “us”).
By accessing or using the Platform, including for onboarding, account management, document exchange, or communication, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Platform.
1. Scope of the Platform
· Secure client onboarding for trust, fiduciary, and investment services;
· Ongoing account management, including access to documents, reporting, transaction requests, and compliance updates;
· Secure communication between GCPA and authorized clients, trustees, partners, and fiduciaries.
2. Eligibility and Access
· Access is restricted to individuals and legal entities who have been pre-approved by GCPA and are subject to formal documentation (e.g., trust agreement, client mandate, investment advisory agreement).
· You must be at least 18 years old and authorized to act on behalf of the account or entity associated with the login credentials.
3. Account Security
· You are responsible for keeping your login credentials confidential and for all activity conducted under your account.
· GCPA may use multi-factor authentication and audit logs to protect your account and monitor compliance.
4. Confidentiality and Data Usage
· All information accessed through the Platform is confidential and may not be disclosed or used outside the scope of your relationship with GCPA.
· Documents, communications, and uploaded files are encrypted and stored in accordance with applicable data protection laws, including GDPR and other cross-border privacy frameworks.
5. Client Relationship and Services
· Use of the Platform does not independently create a fiduciary or banking relationship unless accompanied by signed and accepted service agreements.
· Services such as trust administration, capital management, account servicing, or investment execution are governed by specific legal instruments.
6. Permitted Use
· Completing onboarding processes;
· Managing your trust, custodial, or investment accounts;
· Submitting or downloading verified documentation;
· Communicating with GCPA personnel regarding account status or instruction.
7. Prohibited Use
· Attempt unauthorized access to another user’s information or GCPA systems;
· Use the Platform to transmit malware, false documentation, or misleading statements;
· Upload unlawful, infringing, or unlicensed materials.
8. Termination or Suspension
· GCPA reserves the right to:
· Suspend or terminate your access without notice if a security risk or regulatory concern arises;
· Deactivate accounts after prolonged inactivity, compliance violations, or by client request.
9. Disclaimer of Warranties
· The Platform is provided “as is” and “as available,” with no warranties regarding uptime, security, or merchantability.
· GCPA disclaims all liability for temporary outages, access delays, or third-party interruptions beyond its control.
10. Limitation of Liability
· To the fullest extent permitted by law:
· GCPA shall not be liable for any indirect, incidental, special, or consequential damages resulting from use of the Platform;
· Total liability shall not exceed the amount paid (if any) for use of the services provided through the Platform in the previous 12 months.
11. Governing Law
· These Terms shall be governed by the laws of United Kingdom, and any disputes shall be subject to the exclusive jurisdiction of courts in United Kingdom, unless otherwise agreed in writing.
